General Terms and Conditions for the flexly.pro Job Portal Service

S9I TECH INC, headquartered at 8 The Green, STE A, Dover, DE 19901, U.S. ("Flexly"), offers an online AI-based job portal platform at flexly.pro ("Platform") to assist Employers in their hiring processes and to help Job Seekers find suitable employment opportunities. The Platform provides a range of services designed to connect corporate clients (referred to as "Employers") and individuals (referred to as "Job Seekers").

These General Terms and Conditions ("Agreement") govern the contractual relationship between S9I TECH INC and its Customers, including both Employers and Job Seekers, regarding the use of the Flexly Platform.

This Platform is intended solely for professional and business purposes. By registering and using the Platform, you affirm that you are accessing it on behalf of a business entity or for individual professional reasons and not for personal, family, or household use.

The Platform is intended for adults 18 years of age or older. By accessing the Platform, you represent that you are 18 years of age or older.

Object and Conclusion of the Contract

These General Terms and Conditions apply to the provision of the Flexly Platform by S9I TECH INC.By enrolling in the Platform, Employers and Job Seekers agree to be bound by these Terms and Conditions.

Services Provided by S9I TECH INC

a) For Employers
S9I TECH INC provides Employers access to the Flexly Platform over the Internet for the duration of the Agreement. The Platform supports Employers in assessing the skills and competencies of Job Seekers through advanced AI-driven tools, including behavioral interviews and skill assessments.
You may not use any Site content to establish any independent data files, databases, compendiums, or any other reference materials.

- Recruitment Support: Employers can create job postings, define skill requirements, and conduct virtual interviews with Job Seekers via the Platform. The Platform generates key questions for virtual interviews and simulates business scenarios to evaluate Job Seekers.
- Decision-Making: The final decision on advancing or hiring Job Seekers is solely the responsibility of the Employer.
- Access to the Platform: S9I TECH INC provides services exclusively from data centers located within the U.S. Employers are responsible for ensuring their use of the services complies with applicable laws and regulations.

b) For Job Seekers
S9I TECH INC provides Job Seekers access to the Flexly Platform to search and apply for job opportunities that match their skills and qualifications.

- Profile Creation: Job Seekers can create a profile, upload resumes, and participate in virtual interviews with potential Employers.
- Job Matching: The Platform uses AI to match Job Seekers with job opportunities based on their skills, experience, and preferences.

Customer Obligations

a) Employers' Obligations
Employers are responsible for keeping access data secure and may only provide it to authorized personnel. Employers must ensure that their use of the Platform complies with all applicable laws, including data protection and employment laws.

Employers grant S9I TECH INC a non-exclusive, territorially and temporarily unlimited right to use the content they upload to the Flexly Platform, including job postings and candidate information, to the extent necessary to fulfill the Agreement.

b) Job Seekers' Obligations
Job Seekers must provide accurate and truthful information when creating a profile and applying for jobs. They are responsible for keeping their login credentials secure and must not share them with unauthorized individuals.

Scope of Rights of Use

Upon the commencement of the Agreement, S9I TECH INC grants Employers and Job Seekers a non-exclusive, worldwide, non-transferable, and non-sublicensable right to use the Flexly Platform according to this Agreement.

The Platform may only be used for the intended professional purposes, and Customers may not permit third parties to use the Platform for their purposes without prior written consent from S9I TECH INC.

Data Protection

With respect to personal data used on the Flexly Platform, S9I TECH INC acts as the data processor, and Employers act as the data controllers for the information related to Job Seekers. Job Seekers' personal data will be processed in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.

Payment

a) For Employers
Employers shall pay the agreed fees for using the Flexly Platform, according to the pricing plan selected. Payment is typically made in monthly, quarterly, or annual installments.

In addition to subscription fees, we charge for each job post individually, as well as for packages of job posts. Employers may choose from various packages depending on their hiring needs. Additionally, fees may apply for any extra services provided by Platform, such as premium features, enhanced visibility of job posts, or other customized services requested by the Employer.

All fees and payment terms are detailed in the pricing plan selected by the Employer.

b) For Job Seekers
The use of the Platform by Job Seekers is typically free of charge, but additional premium services may be offered for a fee.

Warranty

The Flexly Platform is provided on an "as is" basis. S9I TECH INC and its suppliers disclaim any and all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

S9I TECH INC does not guarantee that the Platform will always be secure, error-free, or available at all times. Any use of the Platform is at your sole risk.

Compensation and Liability

S9I TECH INC, its affiliates, officers, employees, agents, suppliers, or licensors are not liable for any indirect, incidental, special, consequential, or exemplary damages arising from the use or inability to use the Flexly Platform.

The liability of S9I TECH INC for any damages related to this Agreement is limited to fifty U.S. dollars (U.S. $50).

Confidentiality and Non-Disclosure

Customers agree to treat any confidential information provided by S9I TECH INC as trade secrets and not to disclose them to third parties without prior written consent.

Confidential Information includes, but is not limited to, the Platform itself, any proprietary technologies, and the terms of this Agreement.

Term and Termination

This Agreement becomes effective when the Customer enrolls on the Flexly Platform.

The Agreement remains in effect for the duration of the subscription. Either party may terminate the Agreement with notice under the conditions outlined in the contract. Upon termination, S9I TECH INC will delete the Customer's data, unless legally required to retain it.

Changes to the General Terms and Conditions

S9I TECH INC may unilaterally modify these General Terms and Conditions by posting an updated version on its official website.

Trial and Free Versions

If S9I TECH INC provides any part of the services on a trial or free basis, such services are provided "as is." S9I TECH INC may discontinue or modify trial or free services at any time without notice.

Final Provisions

The Agreement is governed by and construed in accordance with the laws of the state of Delaware. The language of the Agreement is English, and translations are provided for convenience only and are not legally binding.

This Agreement is effective as of March 1, 2025.
